These Terms of Service ("Terms") govern your use of designodin.com (the "Website") and any services provided by Odinzone Labs LLC ("we," "us," or "our"). By using this Website or engaging our services, you agree to these Terms.

Designodin is a web development and digital marketing agency operated by Odinzone Labs LLC, a Delaware limited liability company. We provide custom web development, e-commerce builds, and digital marketing services for businesses across the US, EU, and globally. All services are delivered remotely.

Services include but are not limited to:

• WooCommerce store development
• Shopify store development
• Google Ads management
• Social media management
• Facebook & Instagram Ads management

2. Enquiries and Engagements

Submitting an enquiry through our website does not create a contractual obligation on either party. A project engagement begins only upon agreement of a written scope and receipt of payment or a signed agreement, whichever applies to the specific project type.

We reserve the right to decline any enquiry or project at our sole discretion.

3. Pricing and Payment

• All prices are quoted in US Dollars (USD) unless otherwise agreed
• Applicable taxes will be added where legally required
• Payment terms are specified in the project proposal or agreement for each engagement
• We typically require a deposit before work begins, with the balance due at agreed milestones or upon delivery
• Accepted payment methods are confirmed at the time of engagement

4. Project Delivery and Revisions

• Estimated delivery timelines are provided at the scoping stage and are dependent on timely provision of required materials and feedback from you
• Delays caused by late client input may extend delivery timelines accordingly
• Revision scope is agreed at the project stage. Requests beyond the agreed scope will require a separate quote
• If a project is stalled due to lack of client input for more than 30 days, we reserve the right to close the project. Refund eligibility will be based on work completed to that point

5. Intellectual Property

• Upon receipt of full payment, ownership of the delivered project transfers to you
• Third-party themes, frameworks, plugins, and software licenses used in development remain subject to their respective licence terms
• We retain the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing
• You grant us a licence to use any materials you provide solely for the purpose of completing your project

6. Warranties and Limitation of Liability

Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee:

• Uninterrupted or error-free operation of delivered websites or campaigns
• Specific search engine rankings, traffic volumes, or conversion rates
• Compatibility with all future third-party platform updates
• Any specific business outcomes or revenue

To the maximum extent permitted by law, Odinzone Labs LLC's total liability for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, or loss of profits, revenue, or data.

7. Cancellations and Refunds

• Cancellations before work begins: eligible for refund minus a processing fee, as specified in the project agreement
• Cancellations after work has commenced: refund amount determined based on work completed to date
• No refunds after final delivery has been accepted

8. Third-Party Services

Our work may integrate with or depend on third-party platforms (WordPress, WooCommerce, Shopify, Google, Meta, etc.). We are not responsible for changes to third-party platforms or policies, service outages, additional costs imposed by third-party services, or loss of functionality due to third-party updates. You are responsible for maintaining any required subscriptions or licences for third-party services used in your project.

9. Confidentiality

We agree to keep confidential any proprietary information you share during the project. This does not apply to information that is publicly available, information we independently develop, or information we are legally required to disclose.

10. Privacy

Please review our Privacy Policy to understand how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware or remotely.

You agree that disputes must be brought on an individual basis only, and not as a class action or representative proceeding.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Website with an updated "Last updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
